What does a typical M&A process look like?

Value is not the same as price
An estimated business value helps define a negotiation range, but the actual transaction price also reflects bargaining power, financing, synergies, risks and contract terms.
Why due diligence matters
Published annual accounts are useful, but they do not show everything. A buyer may also need information on customer concentration, contracts, owner dependence, actual debt, contingent liabilities, future CAPEX and normalised management costs.
